Between Startup and Exit

These Terms of Service (”Terms”) govern your access to and use of Between Startup and Exit (the “Publication”), published by Grab Bag Holdings LLC dba Blue Chair Advisory (”Blue Chair,” “we,” “us,” “our”) at articles.bluechairadvisory.com, including all articles and downloadable educational resources (collectively, the “Content”). By subscribing to, accessing or using the Publication, you acknowledge that you have read and agree to these Terms. The Publication is hosted on Substack’s platform; your use is also subject to Substack’s own terms and privacy policy, which govern the underlying platform.

1. Scope

Blue Chair publishes thought-leadership articles and downloadable educational resources, including checklists, worksheets, templates, scorecards and self-assessments, for founders and owners of businesses generally in the $2m to $20m revenue range, addressing operational profitability and reliability, business transferability, owner dependency, mergers and acquisitions, exit readiness and related founder and owner issues. Not every resource is a formal or proprietary diagnostic; some reflect conventional business concepts.

2. Not Professional Advice

The Content is provided for general informational and educational purposes only. It does not constitute legal, financial, tax, accounting, investment, management consulting, business advisory or coaching advice or services, or therapy, counseling, psychological services or mental health treatment of any kind, and should not be relied on as such. Your use of the Publication does not create a consulting, advisory, coaching, therapeutic, fiduciary or other professional relationship between you and Blue Chair or Carla Morelli.

Any separate professional services that Carla Morelli or Blue Chair may offer, if ever, are governed by a separate written agreement. Before making any business, financial, personal or legal decision in connection with the Content, consult a qualified professional advisor familiar with your circumstances.

3. Self-Assessments and Other Tools

Some resources may include self-assessments, checklists, scorecards or other tools that allow you to calculate or interpret a result. You complete and score these resources yourself; Blue Chair does not receive or independently evaluate your responses. Any result or interpretation is intended only as a general educational tool for reflection and further inquiry, not an individualized evaluation or recommendation, and may not account for circumstances unique to you or your business. Two users with the same result may face materially different circumstances. We do not guarantee that any result or interpretation is accurate, complete, suitable for your circumstances or predictive of any particular outcome.

4. Not Therapy, Counseling or Mental Health Services

Some Content, including self-assessment questions, may prompt you to reflect on your relationship to your business, your motivations, identity or goals, and on decisions about staying, selling, restructuring or exiting. This reflection is offered for general educational purposes; it is not therapy, counseling, psychological treatment or mental health services, and no clinical relationship is formed by your use of the Publication. Neither Carla Morelli nor any Blue Chair representatives are licensed mental health providers. The Publication is not intended to diagnose or treat a mental health condition, assess psychological fitness, provide a treatment plan, or replace care from a licensed mental health professional. If reflecting on this Content brings up feelings you want support with, we encourage you to speak with a licensed therapist or counselor.

5. Ownership and Permitted Use

The Publication contains materials owned by or licensed to Blue Chair, including copyrighted expression, branded frameworks, original written materials, templates and scoring systems, to the extent protected by applicable law. Not every checklist or concept in the Content is proprietary. We grant you a limited, non-exclusive, non-transferable license to use the Content for your own personal or internal business purposes. Without our prior written permission, you may not reproduce, republish or redistribute any downloadable resource in whole or in substantial part, or substantial portions of other Content; commercially exploit, scrape or build a database from the Content; use it to create a competing product or assessment or to train, fine-tune, evaluate or develop an AI or machine-learning system; or remove proprietary notices. The Publication may reference third-party books, websites or resources; such references are not endorsements, and Blue Chair is not responsible for third-party content.

6. Disclaimers and Limitation of Liability

The Content is provided for general informational and educational purposes and without warranty regarding its accuracy, completeness or suitability for your circumstances. To the maximum extent permitted by law, Blue Chair will not be liable for indirect, incidental, consequential, special or punitive damages, lost profits or business opportunities, or personal, emotional or relational consequences arising from your use of or reliance on the Content, including consequences of a decision to sell, retain, restructure or exit your business. Our total liability for any claim relating to the Publication will not exceed the greater of $100 or the amount you paid Blue Chair, if any, for access to the Publication during the preceding twelve months. These limitations do not apply to gross negligence, willful misconduct or fraud, and apply only to the extent permitted by law.

7. General

We may modify, suspend or discontinue any part of the Publication, and may update these Terms, at any time; continued use after an update constitutes acceptance. These Terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws principles, and any dispute will be subject to the exclusive jurisdiction of the state and federal courts in Franklin County, Ohio. If any provision is found unenforceable, the remainder will stay in effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Blue Chair regarding the Publication.
